Probably due to another program running in the background either from adobe, google, or an anti-virus app. Try rebooting, pull of any unneeded services for startup via start menu -> cmd -> msconfig -> startup tab. Here you can try these steps, these are not mine i pulled them from this website: http://www.adobeforums.com/webx/.59b4b721
It appears there are applications that interferes with the installation. It may be Google Desktop along with some other programs.
Removing Google Desktop alone doesn’t work! This is how I did it:
Step 1: Login into the Administrator Account
“Activate, Enable and Show Administrator Account in Vista Welcome Screen” http://www.mydigitallife.info/2007/08/10/activate-enable-and-show-administrator-account-in-vista-welcome-scree

Step 2: Gut any CS3 files and programs
Before you start, don’t forget to backup your files and registry and create a system restore point.
Error: “Some problems occurred during installation,” “Component install failed,” or “Shared components failed to install” (Adobe Creative Suite 3) kb401401 – http://www.adobe.com/go/kb401401

Step 3: Disable any services and startup programs in msconfig (with some exceptions – see article for full details)

Don’t worry about it, I tried cleaning my registry to fix it, and messed up , reformatted, so it should work now
